- Website Design and Development
- Mobile Application Development
- Consultation and Strategy
- Technical Support and Maintenance

3. Client Responsibilities
- Accurate Information: You agree to provide accurate and complete information necessary for us to perform the services. This includes business details, technical requirements, and any other information relevant to the project.
- Timely Communication: You agree to respond promptly to any requests for feedback, approvals, or information necessary for us to move forward with the project.
- Compliance with Laws: You agree to comply with all applicable laws and regulations regarding the use of our services.
- Payment: You agree to pay the fees outlined in the service agreement or proposal in a timely manner. Any late payments may incur interest charges.
4. Payment Terms
- Fees: The fees for our services will be outlined in the service agreement or proposal. Payment terms and schedules will be agreed upon prior to the start of any project.
- Late Payments: If payment is not received by the due date, a late fee may be applied, or services may be suspended or canceled until payment is made. We reserve the right to suspend access to the delivered work if payment is delayed.

5. Confidentiality

6. Ownership and Intellectual Property
- Client Content: Any content, materials, or assets you provide to us (e.g., logos, images, text) remain your property.
- Work Product: Upon full payment for the services, we will transfer ownership of the deliverables (e.g., software, website, mobile app) to you, unless otherwise specified in the contract. However, we may retain ownership of certain pre-existing intellectual property used during the project (e.g., code libraries, design templates) that is not specific to your project.
- License: We grant you a non-exclusive, non-transferable license to use the deliverables once the project is complete and payment is made.
7. Termination
- Termination by Client: You may terminate the agreement at any time by providing written notice. However, you will be responsible for paying for all work completed up to the point of termination.
- Termination by AI SMART SYSTEMS: We reserve the right to terminate the agreement if:
- Payment is not made as agreed.
- There is a violation of the terms or illegal activity.
- The project requirements cannot be reasonably fulfilled.
- Payment is not made as agreed.
In the event of termination, any completed work will be delivered, and you will be billed for the portion of the work completed up until termination.
8. Limitation of Liability
To the fullest extent permitted by law, AI SMART SYSTEMS (SMC-PRIVATE) LIMITED will not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to lost profits, business interruption, or data loss.
Our total liability, whether in contract, tort, or otherwise, will be limited to the total amount paid by you for the specific service or project that gave rise to the claim.
9. Warranties and Disclaimers
- No Guarantee of Results: While we strive to provide high-quality services, we do not guarantee any specific results, such as increases in traffic, revenue, or other business outcomes.
- “As-Is” Service: Our services are provided “as-is,” and we do not offer warranties for the work beyond the scope of the contract or agreement. Any technical issues arising post-delivery will be handled according to the support or maintenance agreements.
10. Privacy and Data Protection

11. Dispute Resolution
In the event of any dispute or claim arising out of or relating to this agreement, both parties agree to resolve the matter through negotiation first. If negotiation does not lead to a resolution, the dispute will be resolved through mediation or arbitration, as agreed by both parties.
12. Governing Law
These Terms and Conditions will be governed by and construed in accordance with the laws of Pakistan. Any legal action or proceeding related to these terms must be brought in the courts located in Islamabad, Pakistan.
13. Amendments to Terms
We reserve the right to update or amend these Terms and Conditions at any time. Any changes will be posted on our website, and the updated Terms will become effective immediately upon posting. By continuing to use our services, you accept the revised terms.
